What is Management Liability Insurance and Who Needs It?

Do I Need Management Liability Insurance?

Summary

  • Management Liability insurance helps protect businesses and directors from management-related claims.
  • Cover can include employment disputes, regulatory investigations, crime, and tax audits.
  • Common claims include unfair dismissal, workplace harassment, WHS investigations, and employee fraud.
  • More than 16,000 unfair dismissal applications were lodged in Australia during 2024–25.
  • Small businesses with employees or directors may consider this type of cover.

Australian small businesses face increasing legal, regulatory, and employment-related risks. In 2024–25, the Fair Work Commission received more than 16,000 unfair dismissal applications. These risks can create major financial pressure for business owners and directors, even when claims are ultimately unsuccessful.

What is Management Liability insurance?

Management Liability insurance protects directors, officers, and the insured business from many risks relating to the management of a business. Owners and those responsible for the management of a company have specific responsibilities which can result in personal liability for alleged or actual wrongdoing.

Management Liability insurance may be a consideration for private companies, family businesses, start-ups, and small-to-medium enterprises because business owners and managers can be personally exposed to legal and regulatory action.

Management Liability insurance typically provides cover for managers risks such as:

  • Damages and costs awarded against the insured;
  • Legal and defence costs;
  • Claims investigation costs; and
  • Some civil fines and penalties.

Some events that Management Liability insurance typically won’t cover include:

  • Bodily injury and property damage;
  • Insolvency;
  • Dishonesty/criminal action (except under the Crime section); and
  • Known claims and circumstances.

Common Management Liability claims examples

Unfair dismissal claim

A former employee alleges they were unfairly dismissed after restructuring changes within a business.

Even if the business believes it acted appropriately, legal defence costs and Fair Work proceedings can still create financial pressure.

Workplace harassment allegation

An employee makes allegations of workplace bullying or harassment against a manager.

The business may need to respond to investigations, legal proceedings, and internal reviews while continuing day-to-day operations.

WHS investigation

A workplace injury triggers a Work Health and Safety (WHS) investigation by a regulator. Even where no prosecution occurs, businesses can still face investigation costs and legal defence expenses

Employee theft or fraud

An employee manipulates invoices and diverts business funds into a personal account over several months.

Tax audit costs

A business is selected for an audit of a Return by the Australian Tax Office (ATO).

Even where no wrongdoing is identified, responding to audits can require significant accounting and professional support.

Why small businesses can face management risks

Management-related risks are not limited to large corporations. Small businesses often have:

  • direct owner involvement in operations
  • fewer internal compliance resources
  • limited HR support
  • smaller management teams

This means business owners can be personally involved in employment disputes, regulatory investigations, or governance decisions.

The Australian Bureau of Statistics reports there are more than 2.5 million actively trading businesses in Australia, with most classified as small businesses employing fewer than 20 people.

As businesses grow, the complexity of employment obligations, workplace safety requirements, and regulatory compliance can also increase.
